■ Escrow Account; 에스크로 계정(결재대금 예치제)
A : I understand that Escrow Account is a financial instrument whereby a third party holds funds in safe keeping pending the completion of a contract or other obligations. In this regard, would you exemplify using Escrow Account?
B : For example, let's assume a situation where someone is purchasing a home. Instead of immediately giving the seller the purchase amount, the buyer may deposit the money into an Escrow Account and attach certain conditions to the purchase contract. These conditions might include performing necessary repairs to the property or passing an inspection.
A : In what types of business transaction is the Escrow Account mostly used?
B : Escrow Accounts typically apply to real estate transactions, because placing the funds in Escrow Account allows the buyer can perform due diligence on a potential acquisition. However, it also extends to other transactions where either party seeks assurance that the transaction can be completed.
A : 제가 알기로는 에스크로 계정은 일종의 금융수단(금융상품)으로 이를 통해서 제3자가 계약 또는 기타 의무이행의 완료시까지 자금을 안전하게 예치하는 제도인데 이와 관련하여 사례를 들어 설명해 주시겠습니까?
B : 예를 들어 어떤 사람이 주택을 구입하는 상황을 생각해 봅시다. 구입자는 매도인에게 즉시 대금을 지불하는 대신 구입자금을 에스크로 계정에 예치하고 매매계약서에 일정한 조건의 성취를 첨가하는 것인데, 이들 조건들에는 해당 건물에 대한 필요한 수리의 이행 또는 검사의 합격 등을 포함 할 수 있습니다.
A : 어떤 유형의 사업거래에 에스크로 계정이 가장 많이 활용됩니까?
B : 에스크로 계정들은 특히 부동산 거래에 가장 많이 활용되는데, 그 이유는 어떤 특정 부동산의 취득과정에서 구입자금을 에스크로 계정에 예치시킴으로서 대상 자산에 대한 선관의무 이행조사(실사)가 가능하기 때문입니다. 그러나 에스크로 계정의 활용은 금융거래가 수반되는 사업의 일방 당사자가 거래가 합법적으로 이루어지기를 바라는 보증을 원하는 경우에는 언제라도 활용할 수 있습니다.
(1) ‘financial instrument’란 주식, 채권, 예금증서, 기업어음(CP) 따위의 금융상품을 총칭하는 의미임.
(2) ‘escrow’의 어원은 불어 ‘escroue’에서 유래됐는바, 거래가 성사될 때까지 deed (권리증서)를 보관한다는 뜻임.
